Terms of Service

1. Who we are

The eHMS Hotel Finance Workspace (the Service) is provided by eHMS (Manish Gupta), a sole proprietorship based in New Delhi, India (we, us). Contact: camanish.gupta@outlook.com.

These terms apply to everyone who creates an account or uses the Service, and to the organisation (hotel, group or company) on whose behalf they use it (you). If you accept these terms for an organisation, you confirm you have authority to do so.

2. The Service

The Service is software for hotel budgeting, forecasting, monthly actuals, performance review, management reporting and owner analysis, offered as two workspaces, Planning and Financial Control, used separately or together on the same hotel.

Financial Actuals from your accounting records remain the authoritative record. You are responsible for the information you enter, the assumptions you approve, reconciling outputs to your accounting records and any decision you take using the outputs.

Features described as on the roadmap, "coming soon" or "not available yet" are not part of the Service until released and are not a commitment.

3. Accounts, organisations and users

Each account belongs to a person; each hotel belongs to an organisation. The organisation's Owner, and any Admin the Owner appoints, decides who may access its hotels and what each person may do.

Plans are priced per hotel with unlimited users. You are responsible for everyone you invite and for keeping login credentials secure. Do not attempt to access another organisation's data or to bypass access controls.

4. Plans, trials and the founding offer

Trial. New organisations may receive a free trial of both workspaces for the period shown at sign-up. No card is required.

Founding hotels. Hotels that joined during the beta keep both workspaces free until 31 March 2027, then may move to the launch price, locked for their first paid year.

Paid plans. Plans, prices, the launch offer and group discounts are shown on our website and in the application. The price you pay is the price confirmed at checkout.

5. Payment

Plans are prepaid for the term you choose, monthly or yearly. There is no automatic renewal: to continue after a term, you pay for the next one.

Payments are processed by PayPal (US dollars) and Razorpay (Indian rupees), where offered. We do not receive or store your card or bank details; the payment provider's terms also apply to your payment. Indian prices are our US dollar list converted at the fixed rate shown at checkout.

Taxes. Prices exclude applicable taxes. We are not currently registered for GST and do not charge it. If we register, GST will be added to Indian checkouts from the date of registration and shown before you pay.

Paid time starts when your current plan ends, for example after a trial or the founding period, so free time already granted is not lost. A plan covers the number of hotels paid for; adding hotels beyond that number requires a larger plan.

6. When a plan ends

When a plan or trial ends and is not renewed, the affected workspace keeps full access for a 14-day grace period, then becomes read-only for everyone in the organisation: you can still sign in, read, report and export, but cannot change data, upload or add hotels. Nothing is deleted because a plan ended. Paying for a new term restores changes immediately.

7. Cancellation and refunds

Because plans are prepaid and do not renew automatically, there is nothing to cancel: simply do not renew. Refunds are covered by our Refund & Cancellation Policy, which forms part of these terms.

8. Your data

You keep all rights in the hotel information you enter or upload. You grant us only the permission needed to host, process, calculate, display, back up, troubleshoot and export it to provide the Service. We do not claim ownership of your hotel's budgets, forecasts, actuals or confidential planning figures, we do not sell your data or use it for advertising, and we do not publish your hotel's figures or identify your hotel publicly without your permission.

Upload aggregated hotel financial and operating information only. Do not upload guest payment-card data, passwords, passport or identity-document images, health information or unnecessary personal data.

You may export your data at any time while you have access, including in read-only mode, and you should keep your own approved copies of important budgets and reports. On request we will delete your organisation's data, subject to backups and records we must keep by law, such as payment records. How we handle personal information is described in our Privacy Notice.

9. AI features

Where enabled, AI features draft text, such as variance commentary, from figures the Service has already calculated. AI output is a draft for human review; it does not change financial tables, and you remain responsible for any commentary you accept.

10. Acceptable use

You agree not to misuse the Service: no unauthorised access, probing of other organisations' data, malicious code, abusive automated traffic, security testing that could affect availability or other customers without our written permission, or use that breaks the law or another party's rights.

11. Availability and support

We aim to keep the Service reliable and test it continuously, but we do not guarantee uninterrupted or error-free operation. We may change or improve features. Support is provided by email and in-app feedback; we aim to reply within two business days.

12. Suspension and termination

We may suspend or end access for material misuse, security risk, non-payment or repeated breach of these terms, with notice where practical. If we end your access without fault on your side, we refund the unused paid time as set out in the Refund & Cancellation Policy. You may stop using the Service and ask us to delete your organisation's data at any time.

13. Liability

To the extent permitted by law: the Service is provided for management-support purposes and outputs must be reviewed before you rely on them; we are not liable for indirect or consequential loss, lost profits, or decisions made using the Service's outputs; and our total liability for any claim is limited to the fees you paid us for the Service in the 12 months before the claim.

Nothing in these terms limits liability that cannot be limited by law.

14. Third-party services

The Service relies on third-party providers, including Vercel (application hosting), Supabase (database, EU region), Resend (email), Anthropic (optional AI drafting), PayPal and Razorpay (payments). Their availability can affect the Service. Links to external sites are provided for convenience and are governed by their own terms.

15. Changes to these terms

We may update these terms as the Service develops. We will post the updated terms with a new date and, for material changes, notify account owners by email or in the application before they take effect. Prices already paid for a current term are not changed.

16. Governing law and jurisdiction

These terms are governed by the laws of India. Subject to any mandatory law that applies to you, the courts at New Delhi, India have exclusive jurisdiction over any dispute arising from them.
